Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the mystocks.africa website, applications, APIs, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be legally bound by these Terms.
1. COMPANY, REGULATORY STATUS, AND LEGAL STRUCTURE
The Platform is operated by MyStocks Technologies (Pty) Ltd and its affiliates (“Mystocks Inc,” “we,” “our,” or “us”), a financial startup technology company headquartered in Cape Town, Republic of South Africa.
1.1 Regulatory Representation
MyStocks Technologies (Pty) Ltd is a Juristic Representative of TanFox (Pty) Ltd, an Authorised Financial Services Provider regulated by the Financial Sector Conduct Authority (FSCA FSP No. 52040).
All regulated financial services provided through the Platform are rendered under the license, authority, and supervision of TanFox (Pty) Ltd, where applicable.
1.2 Fintech Platform Status
Mystocks operates as a financial technology platform and:
- Is not a broker-dealer
- Is not an exchange
- Is not a custodian
- Does not provide discretionary or non-discretionary investment advice
2. SCOPE AND NATURE OF SERVICES
Mystocks provides a digital infrastructure platform enabling users to:
- Access market information
- Submit investment instructions
- Interface with licensed brokers, custodians, and execution partners operating across African capital markets
Mystocks does not execute trades or hold client assets in its own name.
3. THIRD-PARTY BROKERS, EXECUTION, AND PARTNERS
3.1 Execution Services
All trade execution, clearing, settlement, and order handling are performed by independent, regulated third-party brokers and execution partners licensed in their respective jurisdictions.
3.2 No Partner Liability
Mystocks is not responsible for broker execution quality, market availability, exchange outages, settlement delays, or pricing discrepancies originating from third-party providers. Each partner operates under its own regulatory obligations and contractual terms.
4. ELIGIBILITY AND ACCOUNT REGISTRATION
To use the Platform, you must:
- Be 18 years or older
- Have legal capacity to contract
- Successfully complete required KYC/AML and onboarding checks
- Comply with applicable laws in your country of residence
5. CUSTODY AND OWNERSHIP OF ASSETS
5.1 Custody Arrangement
Client securities and assets are held in custody on record on behalf of the customer by licensed custodians or brokers.
5.2 Beneficial Ownership
You remain the beneficial owner of your investments at all times, subject to applicable law, custodian/broker agreements, and market rules. Mystocks does not take ownership of client assets.
6. SEGREGATION OF CLIENT FUNDS
- Client funds are maintained in segregated accounts
- Client assets are not commingled with Mystocks’ corporate or operating funds
- Segregation is maintained in accordance with partner regulatory standards
7. DIVIDENDS AND CORPORATE ACTIONS
Dividends received from issuers are credited to user accounts as soon as reasonably practicable. Mystocks aims for near-instant dividend distribution, subject to settlement, clearing, and partner timelines. Corporate actions are processed in line with market and partner rules.
8. FEES, SPREADS, AND PRICING
8.1 Platform Fee
Mystocks charges a 0.75% platform fee on applicable transactions unless otherwise disclosed.
8.2 Variable Spread
Displayed prices may include a variable spread, influenced by market liquidity, execution costs, broker pricing, currency conversion, and market volatility. Spreads are not fixed and may change without notice.
9. MARKET DATA AND INFORMATION
Market data may be delayed, indicative, or incomplete. Data is sourced from third-party providers. Mystocks does not warrant accuracy, completeness, or timeliness. Market data is provided for informational purposes only.
10. RISK DISCLOSURE
Investing in securities involves substantial risk, including but not limited to: loss of capital, market volatility, liquidity constraints, currency risk, and political/economic risks across African markets. Past performance is not indicative of future results.
11. USER OBLIGATIONS
You agree to provide accurate and current information, maintain account security, use the Platform lawfully, and refrain from fraud, manipulation, or system abuse.
12. INTELLECTUAL PROPERTY
All intellectual property on the Platform remains the exclusive property of Mystocks or its licensors. No rights are granted except as expressly stated.
13. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Mystocks is not liable for indirect, incidental, or consequential damages. Total liability shall not exceed fees paid by you in the preceding 12 months.
14. INDEMNITY
You agree to indemnify and hold Mystocks harmless from claims arising from breach of these Terms, misuse of the Platform, or violation of laws or third-party rights.
15. SUSPENSION AND TERMINATION
Mystocks may suspend or terminate access for regulatory or compliance reasons, breach of these Terms, or to protect platform integrity. Termination does not affect accrued rights or obligations.
16. PRIVACY AND DATA PROTECTION
Use of the Platform is governed by our Privacy Policy and complies with South African POPIA and applicable African data protection laws.
17. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of the Republic of South Africa. The courts of Cape Town, South Africa, have exclusive jurisdiction.
